These terms and conditions (the “Agreement”) form a legally binding agreement between MySigrid Pte Ltd (Reg. No. 201621806Z), referred to as “MySigrid”, “we”, “us”, or “our”, and the client engaging our services, referred to as “the Client”, “you”, or “your”.
MySigrid offers a range of professional services (collectively, the “Services”) which include, but are not limited to:
• Virtual Assistant Services
• Remote Staffing Solutions
• AI Agent Building and Management
• Integrated Team Support
• IT Helpdesk Services
• Digital Marketing Services
These services may be provided on a full-time, part-time, project based or subscription basis. A detailed description of the Services subscribed to by the Client will be specified in the Service Agreement or Proposal. Services may include administrative, technical, creative, customer success, compliance, marketing, automation, and business process support, among others.
Subscriptions are non-transferable and MySigrid will only accept instructions from authorized users named in the Client’s service agreement.
Upon the Start Date, MySigrid will assign a qualified professional, remote staff member, AI agent, or team (the “Assigned Resource”) to fulfill the Service obligations under this Agreement. The Assigned Resource may consist of:
• A dedicated individual (e.g., assistant, developer, analyst, specialist)
• A shared services team
• A managed AI Agent developed for the Client
• An integrated team assigned to deliver cross-functional tasks
MySigrid retains the right to delegate or reassign resources as needed to ensure optimal service delivery.
Working hours, channels of communication, task expectations, and support capacity will be outlined in the Service Agreement. Depending on the type of service subscribed to, Clients may receive:
• A defined number of service hours per month
• A dedicated support window (“Live Support Window”)
• AI Agent interaction protocols
• Access to project or task management tools
Task requests should be submitted through MySigrid’s designated channels. The Client is responsible for providing complete and accurate instructions, including any necessary credentials, preferences, or background.
The Client may authorize their Assigned Resource to make independent decisions in line with the scope of work. MySigrid is not liable for decisions made at the Client’s request or discretion.
MySigrid agrees to perform the Services with commercially reasonable skill, care, and diligence in accordance with industry standards and practices applicable to the service rendered (human or AI). We make no warranty that Services will be uninterrupted, error-free, or fully secure, but we will endeavor to correct issues promptly upon notice.
MySigrid commits to maintaining the following service levels:
• 99% service availability during agreed working hours
• Response time for critical issues: within 2 hours
• Response time for standard requests: within 24 hours
• Task completion within agreed timelines as specified in the Service Agreement
Payments are due in advance on or before the 1st day of each calendar month, unless otherwise agreed in writing. All payments shall be made in the currency and via the method stipulated in the invoice or MySigrid’s billing system.
The Client agrees to pay MySigrid the fees specified in the Service Agreement. Fees may be structured as:
• Monthly subscriptions
• Project-based or milestone payments
• Additional charges for overages or one-off tasks
Payments are due in advance on or before the 1st day of each calendar month, unless otherwise agreed in writing. All payments shall be made in the currency and via the method stipulated in the invoice or MySigrid’s billing system.
Payments must be made net of all applicable taxes, duties, or transfer fees. If MySigrid incurs expenses on behalf of the Client and reimbursement fails (e.g., card decline), the Client authorizes us to charge any unpaid amount to their registered payment method.
We reserve the right to:
• Suspend services for non-payment
• Adjust fees based on actual usage patterns
• Notify the Client of pricing revisions at least 30 days in advance
This Agreement remains in force until terminated by either party in accordance with the terms herein.
Termination may occur:
• By the Client:
• Before Start Date: Full refund
• Within first 30 days: 72-hour written notice; prorated refund for unused services
• After 30 days: 30-day written notice required; no refunds for the current billing cycle
• By MySigrid:
• For non-payment: 7-day notice
• For material breach: Immediate termination with written notice
• Without cause: 60-day written notice
Outstanding balances must be settled even after notice of termination.
Each party agrees to maintain the confidentiality of the other's proprietary and sensitive information.
This includes:
• Trade secrets and proprietary methodologies
• Client lists and contact information
• Financial data and business strategies
• Technical specifications and source code
• Personal data of employees or customers
MySigrid will process all Personal Data in accordance with:
• The Personal Data Protection Act (Singapore)
• The EU General Data Protection Regulation (GDPR)
• Our published Privacy Policy
Confidentiality obligations continue for five (5) years beyond the termination of this Agreement. Disclosure is only permitted where required by law, with reasonable notice to the other party.
For a period of 24 months after termination (or shorter if required by applicable law), the Client agrees not to directly or indirectly solicit, hire, or contract any employee, contractor, or assigned resource introduced by MySigrid, except with prior written consent.
The following violations shall incur a liquidated damages penalty of USD 10,000.00 per occurrence:
1. Breach of Confidentiality
• Unauthorized disclosure of MySigrid's or other clients' confidential information
• Sharing of proprietary methodologies, systems, or processes
• Publication or distribution of trade secrets or sensitive business data
• Failure to return or destroy confidential materials upon termination
2. Data Security Violations
• Causing a data breach through negligence or willful misconduct
• Unauthorized access to MySigrid systems or client data
• Failure to comply with agreed security protocols resulting in data compromise
• Installing malicious software or engaging in hacking activities
• Unauthorized copying, downloading, or transfer of sensitive data
3. Non-Solicitation Breach
• Direct or indirect solicitation of MySigrid employees or contractors
• Hiring or contracting MySigrid resources without written consent
• Encouraging MySigrid resources to breach their employment agreements
• Circumventing MySigrid to engage resources introduced by the company
4. Intellectual Property Violations
• Unauthorized use, copying, or distribution of MySigrid's intellectual property
• Claiming ownership of work product created by MySigrid resources
• Reverse engineering of MySigrid's proprietary systems or AI agents
• Trademark or copyright infringement
5. Service Level Agreement Violations
By MySigrid:
• Failure to maintain 95% service availability for three consecutive months
• Repeated failure to meet agreed response times (more than 5 instances per month)
• Abandonment of services without proper notice
By Client:
• Abuse or harassment of MySigrid resources
• Requiring MySigrid resources to perform illegal or unethical activities
• Persistent overloading beyond agreed service capacity
6. Payment Default
• Payment delays exceeding 60 days
• Chargebacks or payment reversals made in bad faith
• Providing fraudulent payment information
7. Material Breach of Agreement
• False representation or fraud
• Violation of applicable laws while using MySigrid services
• Gross negligence resulting in damages to the other party
• Breach of warranty or indemnification obligations
8. Unauthorized System Use
• Sharing login credentials with unauthorized parties
• Using MySigrid resources for illegal activities
• Attempting to access other clients' data or resources
• Exceeding authorized usage limits by more than 200%
The USD 10,000.00 penalty represents agreed liquidated damages, acknowledging that actual damages may be difficult to quantify. These penalties are:
• Immediately due and payable upon written notice of violation
• In addition to any other remedies available at law or equity
• Subject to interest at 1.5% per month if not paid within 30 days
• Enforceable through arbitration or court proceedings
MySigrid reserves the right to:
• Offset penalties against any amounts owed to the violating party
• Suspend or terminate services immediately for violations
• Pursue additional damages if actual losses exceed the penalty amount
• Report violations to relevant authorities where required by law
Any disputes regarding penalty enforcement shall be resolved through:
• Good faith negotiation (30-day period)
• Mediation through the Singapore Mediation Centre
• Binding arbitration under SIAC Rules if mediation fails
The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
Except for the penalty violations specified above, MySigrid's liability for other claims is capped at six months' worth of fees paid under this Agreement.
The Client agrees to indemnify MySigrid from liabilities arising from:
• Client instructions that violate laws or regulations
• Misuse of content or services provided
• Data breaches resulting from Client's security failures
• Intellectual property infringement initiated by the Client
• Claims by third parties arising from Client's use of Services
MySigrid will not be held responsible for service delays or interruptions caused by events beyond its control, including but not limited to natural disasters, cyberattacks, civil unrest, or system failures.
Nothing in this Agreement constitutes a partnership, agency, or joint venture between MySigrid and the Client. MySigrid is an independent service provider.
MySigrid reserves the right to:
• Conduct security audits of Client's use of services
• Monitor compliance with Agreement terms
• Request certification of compliance with confidentiality obligations
• Investigate suspected violations with reasonable notice
Both parties shall maintain appropriate insurance coverage including:
• Professional liability insurance (minimum USD 1,000,000)
• Cyber liability insurance (minimum USD 500,000)
• General liability insurance as required by law
This Agreement is governed by the laws of Singapore. All disputes shall be resolved exclusively in the courts of Singapore. Third parties have no rights under this Agreement.
This Agreement, together with any signed Service Agreements, Proposals, and updated Service Descriptions, constitutes the full understanding between the parties and supersedes all prior agreements or representations.
All official communications must be in writing and sent to:
• For MySigrid: The registered email address on file
• For Client: The authorized contact specified in the Service Agreement
Acknowledgment of receipt is required for notices regarding violations, penalties, or termination.
MySigrid reserves the right to update this Agreement. We will notify Clients in writing of material changes. Continued use of the Services after notice of amendments constitutes acceptance.
If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force and effect. The parties agree to negotiate in good faith to replace any unenforceable provision.
The following provisions survive termination:
• Confidentiality obligationsFor MySigrid: The registered email address on file
• Penalty violations for acts occurring during the Agreement term
• Indemnification provisions
• Dispute resolution clauses
• Non-solicitation provisions
