These terms and conditions (the “Agreement”) form a legally binding agreement between MySigrid Pte Ltd (Reg. No. 201621806Z), referred to as “MySigrid”, “we”, “us”, or “our”, and the client engaging our services, referred to as “the Client”, “you”, or “your”.
MySigrid offers a range of professional services (collectively, the “Services”) which include, but are not limited to:
• Virtual Assistant Services
• Remote Staffing Solutions
• AI Agent Building and Management
• Integrated Team Support
These services may be provided on a full-time, part-time, project based or subscription basis. A detailed description of the Services subscribed to by the Client will be specified in the Service Agreement or Proposal. Services may include administrative, technical, creative, customer success, compliance, marketing, automation, and business process support, among others.
Subscriptions are non-transferable and MySigrid will only accept instructions from authorized users named in the Client’s service agreement.
Upon the Start Date, MySigrid will assign a qualified professional, remote staff member, AI agent, or team (the “Assigned Resource”) to fulfill the Service obligations under this Agreement. The Assigned Resource may consist of:
• A dedicated individual (e.g., assistant, developer, analyst, specialist)
• A shared services team
• A managed AI Agent developed for the Client
• An integrated team assigned to deliver cross-functional tasks
MySigrid retains the right to delegate or reassign resources as needed to ensure optimal service delivery.
Working hours, channels of communication, task expectations, and support capacity will be outlined in the Service Agreement. Depending on the type of service subscribed to, Clients may receive:
• A defined number of service hours per month
• A dedicated support window (“Live Support Window”)
• AI Agent interaction protocols
• Access to project or task management tools
Task requests should be submitted through MySigrid’s designated channels. The Client is responsible for providing complete and accurate instructions, including any necessary credentials, preferences, or background.
The Client may authorize their Assigned Resource to make independent decisions in line with the scope of work. MySigrid is not liable for decisions made at the Client’s request or discretion.
MySigrid agrees to perform the Services with commercially reasonable skill, care, and diligence in accordance with industry standards and practices applicable to the service rendered (human or AI). We make no warranty that Services will be uninterrupted, error-free, or fully secure, but we will endeavor to correct issues promptly upon notice.
The Client agrees to pay MySigrid the fees specified in the Service Agreement. Fees may be structured as:
• Monthly subscriptions
• Project-based or milestone payments
• Additional charges for overages or one-off tasks
Payments are due in advance on or before the 1st day of each calendar month, unless otherwise agreed in writing. All payments shall be made in the currency and via the method stipulated in the invoice or MySigrid’s billing system.
Payments must be made net of all applicable taxes, duties, or transfer fees. If MySigrid incurs expenses on behalf of the Client and reimbursement fails (e.g., card decline), the Client authorizes us to charge any unpaid amount to their registered payment method.
We reserve the right to:
• Suspend services for non-payment
• Adjust fees based on actual usage patterns
• Notify the Client of pricing revisions at least 30 days in advance
This Agreement remains in force until terminated by either party in accordance with the terms herein.
Termination may occur:
• By the Client:
• Before Start Date: Full refund
• Before Start Date: Full refund
• After 30 days: 30-day written notice required; no refunds for the current billing cycle
• By MySigrid:
• For non-payment: 7-day notice
• Without cause: 60-day written notice
Outstanding balances must be settled even after notice of termination.
Each party agrees to maintain the confidentiality of the other’s proprietary and sensitive information. Confidentiality obligations continue beyond the termination of this Agreement. Disclosure is only permitted where required by law, with reasonable notice to the other party.
MySigrid will process all Personal Data in accordance with:
• The Personal Data Protection Act (Singapore)
• The EU General Data Protection Regulation (GDPR)
• Our published Privacy Policy
By engaging our services, the Client consents to such processing.
For a period of 24 months after termination (or shorter if required by applicable law), the Client agrees not to directly or indirectly solicit, hire, or contract any employee, contractor, or assigned resource introduced by MySigrid, except with prior written consent.
MySigrid is not liable for indirect, incidental, or consequential damages. Our liability is capped at six months’ worth of fees paid under this Agreement.
The Client agrees to indemnify MySigrid from liabilities arising from Client instructions, misuse of content, data breaches resulting from shared access, or intellectual property infringement initiated by the Client.
MySigrid will not be held responsible for service delays or interruptions caused by events beyond its control, including but not limited to natural disasters, cyberattacks, civil unrest, or system failures.
Nothing in this Agreement constitutes a partnership, agency, or joint venture between MySigrid and the Client. MySigrid is an independent service provider.
This Agreement is governed by the laws of Singapore. All disputes shall be resolved exclusively in the courts of Singapore. Third parties have no rights under this Agreement.
This Agreement, together with any signed Service Agreements, Proposals, and updated Service Descriptions, constitutes the full understanding between the parties and supersedes all prior agreements or representations.
All official communications must be in writing and sent to the last known email address unless otherwise specified. Acknowledgment of receipt is required unless otherwise agreed.
MySigrid reserves the right to update this Agreement. We will notify Clients in writing of material changes. Continued use of the Services after notice of amendments constitutes acceptance.
